Dear Carl:

I am writing to you to confirm MCI's sponsorship of the Internet 1996 World Exposition. MCI eagerly looks forward to working with the Internet 1996 World Exposition to create, as you state on your Web site, "a public park for the global village, a place that endeavors to show what a community will look like in the information age."

As part of MCI's role as an Official Organizer of the Internet 1996 World Exposition, MCI intends to provide the US half of an international US-Japan DS3 circuit on the TPC-5 digital cable. The DS3 circuit will be provided at no charge for a period of one year beginning on January 15, 1996. However, MCI may, with thirty days' notice, terminate the DS3 connection. The Japan half of the DS3 will be provided by KDD. The Internet 1996 World Exposition is solely responsible for working out a separate agreement with KDD for KDD's provision of its portion of the DS3.

MCI will also provide the Internet 1996 World Exposition with $100,000 to be used solely for the tax exempt purposes of implementing the Internet 1996 World Exposition. This sum is in addition to the $100,000 already provided in 1995 for the same tax exempt purposes.

As we have agreed, the DS3 may be used only for the Internet 1996 World Exposition Specifically, it may not be used for any commercial purposes, including any resale of Internet access. The Internet 1996 World Exposition will take appropriate steps to inform users of the DS3 that they are responsible for their use of the DS3 and that they may not use the DS3 for any commercial, illegal or abusive purposes.

The Internet Expo will also be fully responsible for the actions of such users and for Internet 1996 World Exposition employees and agents and will indemnify MCI for any losses incurred by MCI arising out of such actions up to a ceiling of one million dollars. MCI will indemnify the Internet 1996 World Exposition for any losses arising out of any claim that MCI does not have the rights to provide the services as outlined in this letter; provided, however, that such claims are limited to one million dollars.

I understand that MCI will be designated as a primary sponsor of and participant in the Internet 1996 World Exposition. As part of this sponsorship, MCI's trademarks, service marks, and logos will be displayed prominently in all Internet 1996 World Exposition press releases, promotional materials and the Internet 1996 World Exposition homepage. All references to MCI and use of MCI trademarks, service marks, and logos will include appropriate descriptions of the nature of MCI's sponsorship and will be pre-approved by MCI. MCI will also be able to promote its participation in the Internet 1996 World Exposition. All references to the Internet 1996 World Exposition and the use of the Internet Expo trademarks, service marks, and logos will be pre-approved by the Internet 1996 World Exposition.

The diagram attached to this letter outlines the architecture of the DS3 and the Internet 1996 World Exposition routers. The Internet 1996 World Exposition will adhere to established MCI operational procedures. MCI will not be providing backup for the services provided to the Internet 1996 World Exposition. The Internet 1996 World Exposition will, at its own cost, maintain its network and all routers that interface with the DS3 line. The Internet 1996 World Exposition will also be responsible, at its own expense, for the following: acquisition and installation of all hardware and software for the Internet 1996 World Exposition; compatibility of such hardware and software with the DS3 line; the implementation of all reasonable security procedures (including all requests by MCI) to guarantee security and reduce service obstructions and other hazards; and the implementation of all cabling between the Internet 1996 World Exposition's equipment and the DS3 line connecting to the MAE-East network, as indicated on the attached network diagram.

Finally, per standard MCI policy, the DS3 is provided on an "AS IS" basis, and MCI does not provide any express or implied guarantees or warranties of any kind, including warranties regarding security, restoration of service in the event of technical problems, title, noninfringement, merchantability, or fitness of the DS3 for any particular use by the Internet 1996 World Exposition. Since MCI is providing the DS3 at no cost, it is necessary to underscore that MCI disclaims all damages resulting from use of the DS3. For example, MCI will not be held responsible if a company claims that it suffered lost profits or needs to replace equipment as a consequence of the use of the DS3. Similarly, in order to reduce any possibility of extended legal bills, any dispute regarding the DS3 will be resolved by JAMS/Endispute arbitration in Washington, DC under the JAMS/Endispute rules.
